The Supervisory Board and Managing Board of Süd-Chemie AG hereby declare that:

The recommendations of the Commission of the German Corporate Governance Code made by the Federal Ministry of Justice in the official section of the electronic Federal Gazette were fulfilled in 2010, with the following exceptions:

Deductible for D&O insurance for members of the Managing and the Supervisory Board
No deductible has been agreed with respect to the D&O insurance for members of the Managing and the Supervisory Board. The existing liability insurance will thus be continued for the duration of the term of the Managing Board members' contracts of employment respectively for the Supervisory Board members' term of office (subclause 3.8 of the Code).

Formation of a nomination committee
In view of the current shareholder structure prevailing at Süd-Chemie AG a Nomination Committee has not been formed presently (subclause 5.3.3 of the Code).

Election of the Supervisory Board at the Annual General Meeting
In view of the current shareholder structure elections to the Supervisory Board at annual general meetings are not conducted on an individual basis (subclause 5.4.3 of the Code).

Publication of share packets larger that 1%
Süd-Chemie AG shares held by all members of the Managing Board and Supervisory Board which exceed one percent of the issued shares are not stated in the Corporate Governance Report in order not to publish Supervisory Board members' shareholdings in the Company (subclause 6.6 of the Code).

Appropriate female participation on the Supervisory Board
Since the Supervisory Board will not be re-elected until the annual general meeting at which a resolution is passed to discharge its members for the 2010 financial year, there is, as yet, no female representation on the Supervisory Board (subclause 5.4.1 of the Code).
