01/28/2008 - One Equity Partners holds 50.41% of Süd-Chemie AG voting rights

Süd-Chemie AG, Munich, was informed on 24 January 2008 that since 23 November 2007 further 10.14% of voting rights (1,200,000 voting rights) of Süd-Chemie AG are attributed to the One Equity Partners company SC-Beteiligungsgesellschaft mbH, Frankfurt am Main, which has thereby increased its holding of voting rights in Süd-Chemie AG to 50.41%.

The voting rights announcement of One Equity Partners means that SC-Beteiligungsgesellschaft mbH has not yet acquired the 1,200,000 shares from Messerschmitt-Stiftung. Instead, SC-Beteiligungsgesellschaft mbH has agreed with Messerschmitt-Stiftung that SC-Beteiligungsgesellschaft mbH has the right to acquire the 1,200,000 shares two working days after the annual general meeting of Süd-Chemie AG which is planned for 30 May 2008. Furthermore, SC-Beteiligungsgesellschaft mbH has received a power of attorney from Messerschmitt-Stiftung and can exercise the voting rights deriving from the aforementioned shares already in the next annual general meeting at its own discretion.
