06/15/2005 - OEP intends to take over 39% of the shares in Süd-Chemie AG

SC-Beteiligungsgesellschaft mbH, Frankfurt am Main, a subsidiary of One Equity Partners LLC (OEP), New York, USA, has reached agreement with the three main shareholders of Süd-Chemie AG, AZ-SDC Vermögensverwaltungsgesellschaft mbH (19%), Possehl Beteiligungsverwaltung GmbH (10%) and BLB-Beteiligungsgesellschaft Jota GmbH & Co. KG Nr. 3 (10%) on taking over a 39% interest at a price of 35 euros per share.

In the second half of July, OEP intends to submit a voluntary takeover bid to all remaining shareholders based on the same price of 35 euros per share. OEP is aiming to acquire a simple majority in Süd-Chemie AG. The company is to remain listed on the stock exchange.

The press release issued by SC-Beteiligungsgesellschaft mbH expressly supports the strategy pursued by Süd-Chemie AG´s Managing Board of expanding the company´s market positions via profitable growth and acquisitions.

SC-Beteiligungsgesellschaft mbH is to submit the offer to Germany´s federal financial regulatory authorities (Bafin). Following clearance by Bafin, an official statement is to be issued by the Managing Board and the Supervisory Board. The shareholders must decide within a period to be specified by the bidder in its offer, whether or not to accept the offer. This period may be no less than four weeks and no more than ten weeks.
