Declaration by the Supervisory Board and Managing Board of Süd-Chemie AG pursuant to Sec. 161 of the German Stock Corporation Act relating to compliance with the recommendations of the Government Commission on the German Corporate Governance Code in the version of 14 June 2007:

The Supervisory Board and Managing Board of Süd-Chemie AG hereby declare that:

The recommendations of the Commission of the German Corporate Governance Code made by the Federal Ministry of Justice in the official section of the electronic Federal Gazette were fulfilled in 2007, with the following exceptions:

1. Formation of a nomination committee In view of the shareholder structure prevailing at Süd-Chemie AG a Nomination Committee has not been formed (subclause 5.3.3 of the Code).

2. Remuneration of Supervisory Board No breakdown of the elements of remuneration paid to individual members of the Supervisory Board is included in the Corporate Governance Report (subclause 5.4.7 of the Code).

3. Age limit for Supervisory Board members No age limit has been specified for members of the Supervisory Board (subclause 5.4.1 of the Code).

4. Election of the Supervisory Board at the Annual General Meeting Elections to the Supervisory Board at annual general meetings are not conducted on an individual basis (subclause 5.4.3 of the Code).

5. Publication of share packets larger that 1% Süd-Chemie shares held by all members of the Managing Board and Supervisory Board which exceed one percent of the issued shares are not stated in the Corporate Governance Report (subclause 6.6 of the Code).

6. 90-day period for publishing the annual financial statements Süd-Chemie AG does not yet comply with the ninety-day period for publication of its consolidated financial statements or the forty-five day period for publication of its interim report (subclause 7.1.2 of the Code).
